Terms of Service

1. Acceptance of Terms

By creating an account on SpiffySign or by signing an agreement through the SpiffySign platform, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use SpiffySign.

2. Description of Service

SpiffySign is a web-based platform that enables licensed real estate agents (“Agents”) to create, send, and collect electronic signatures on touring agreements and buyer representation agreements. SpiffySign facilitates the electronic signing process; it does not draft, review, or provide legal advice regarding the content of any agreement.

3. Eligibility

To create an Agent account, you must be a licensed real estate agent in good standing in the state of Iowa (or the applicable jurisdiction). You must provide accurate and complete information during registration, including your real estate license number. You are responsible for maintaining the accuracy of your account information.

Signers (buyers or other parties who sign agreements through SpiffySign) must be at least 18 years of age and legally capable of entering into binding agreements.

4. Agent Responsibilities

As an Agent using SpiffySign, you acknowledge and agree that:

• You are solely responsible for the content of the agreements you send through SpiffySign, including their compliance with applicable laws, regulations, and brokerage policies.
• You have reviewed the agreement templates available on SpiffySign and confirmed that they are appropriate for your use, ideally with the approval of your managing broker.
• You will not use SpiffySign to send agreements containing false, misleading, or fraudulent information.
• You are responsible for ensuring that Signers have the opportunity to read and understand agreements before signing.
• You will comply with all applicable real estate laws and regulations, including the Iowa Real Estate License Law (Iowa Code Chapter 543B), the Iowa Uniform Electronic Transactions Act (Iowa Code Chapter 554D), and fair housing laws (federal Fair Housing Act and Iowa Code Chapter 216).

5. Electronic Signatures

SpiffySign facilitates electronic signatures in accordance with the Iowa Uniform Electronic Transactions Act (Iowa Code Chapter 554D) and the federal Electronic Signatures in Global and National Commerce Act (E-SIGN Act). By signing an agreement through SpiffySign, Signers consent to conduct the transaction electronically and acknowledge that their electronic signature carries the same legal weight as a handwritten signature.

Each signed agreement includes an electronic signature audit trail documenting the Signer's identity, IP address, browser information, and timestamp of signing.

6. Subscription and Payment

Agent accounts require a paid subscription at the current rate displayed during checkout (currently $11 per month). Subscriptions are billed monthly through Stripe. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

We reserve the right to change subscription pricing with 30 days' notice to existing subscribers.

7. Intellectual Property

The SpiffySign platform, including its design, code, and branding, is the property of Iowa Automations LLC. The agreement templates provided within SpiffySign are licensed for use by subscribed Agents on the platform only and may not be copied, distributed, or used outside of SpiffySign without written permission.

Agents retain ownership of any custom agreement content they create or upload. Signers retain ownership of their signature images.

8. Disclaimer of Legal Advice

SpiffySign is a technology platform, not a law firm. Iowa Automations LLC does not provide legal advice, legal representation, or legal opinions. The agreement templates available on SpiffySign are provided for convenience and are not a substitute for legal counsel.

We strongly recommend that Agents have their managing broker and, if appropriate, legal counsel review any agreement templates before use. Iowa Automations LLC makes no representation or warranty that the agreement templates are suitable for any particular transaction, brokerage, or jurisdiction.

9. Limitation of Liability

To the maximum extent permitted by law, Iowa Automations LLC and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of SpiffySign, including but not limited to:

• Disputes between Agents and Signers regarding agreement terms
• The legal enforceability of any agreement signed through SpiffySign
• Loss of data, revenue, or business opportunities
• Unauthorized access to your account due to your failure to maintain account security

Our total liability for any claim arising from your use of SpiffySign shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Iowa Automations LLC from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of SpiffySign, your violation of these Terms, or your violation of any law or regulation.

11. Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at anton@iowaautomations.com if you become aware of any unauthorized use of your account.

12. Acceptable Use

You agree not to:

• Use SpiffySign for any unlawful purpose
• Attempt to gain unauthorized access to SpiffySign systems or other users' data
• Interfere with or disrupt the platform's operation
• Impersonate another person or entity
• Use SpiffySign to send agreements for purposes other than legitimate real estate transactions

13. Service Availability

We strive to keep SpiffySign available at all times but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience outages that temporarily affect availability. We are not liable for any loss resulting from service interruptions.

14. Termination

We may suspend or terminate your account if you violate these Terms, fail to pay subscription fees, or engage in conduct that we reasonably believe is harmful to SpiffySign, its users, or third parties. Upon termination, your access to the platform will be revoked, but signed agreement records will be retained as described in our Privacy Policy.

15. Governing Law

These Terms are governed by the laws of the State of Iowa, without regard to conflict of law principles. Any disputes arising from these Terms or your use of SpiffySign shall be resolved in the state or federal courts located in Black Hawk County, Iowa.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify Agents by email or by posting a notice on our website. Your continued use of SpiffySign after any changes constitutes acceptance of the updated Terms.
